ESOP meaning and RSU meaning: what's the difference?
ESOP (Employee Stock Option Plan): In common Indian salary and employee-compensation usage, an ESOP gives you an option to acquire company shares under a grant's terms, typically after vesting and payment of an exercise or strike price. Exact plan terms control when and how the option can be exercised.
RSU (Restricted Stock Unit): An RSU generally represents a promise to deliver shares or equivalent value when specified vesting and settlement conditions are satisfied. Conventional RSUs generally do not require paying a strike price, though tax withholding and settlement rules can reduce shares delivered.
Granted is not the same as vested. A grant is the total award offered subject to conditions. Vesting is the part that has satisfied the relevant service/performance conditions. Neither guarantees a public-market price or a buyer for unlisted securities.

Enter indicative prices and liquidity routes. Use current prices where available, verify foreign exchange assumptions, and avoid treating unlisted prices as executable sale values.

Frequently asked questions
What does ESOP mean in salary?
ESOP commonly refers to an Employee Stock Option Plan. It is a form of employee equity compensation, generally giving the employee the right to purchase company shares according to the grant's conditions. It is not the same as cash salary.
What is the difference between ESOPs and RSUs?
ESOP options typically have an exercise price and require exercise to acquire shares. Conventional RSUs generally settle into shares or equivalent value after their vesting/settlement conditions are met, without an exercise price. Both can involve taxes and selling restrictions.
What does vested mean for ESOPs or RSUs?
Vesting means the relevant award conditions have been satisfied for that portion of the grant. It does not necessarily mean the award has been exercised, settled, can be traded, or can be converted into cash today.
What is the ESOP strike price?
The strike (exercise) price is the amount payable per option when exercising under the grant. For an option that still needs exercise, the relevant cash cost depends on the unexercised vested units and the exercise price.
Can I sell vested ESOPs or RSUs in an unlisted company?
Not necessarily. Transfers may require company approval, an approved buyback, a secondary transaction or a future liquidity event. Confirm the employer's grant terms and actual transaction route; an estimated share value does not establish liquidity.
Are ESOPs and RSUs taxable in India?
Tax outcomes depend on the instrument, employer jurisdiction, residence, exercise/vesting/settlement timing, sale, withholding and other facts. The workbook deliberately does not calculate taxes. Obtain advice from a qualified tax professional before exercising or selling.
Does the tracker work for foreign company grants?
Yes, for grants whose values you can enter in the supported currencies (INR, USD, EUR, GBP, SGD and AED). The workbook translates those values using user-verified exchange-rate inputs. It does not determine overseas tax or exchange-control treatment.
Is this a live online calculator?
No. It is a downloadable Microsoft Excel workbook sent to your email. You can update your information privately and revisit it as your grants vest or prices change.

Equity compensation creates a different type of concentration risk: one company's performance may affect both your career income and an important part of your family’s assets.
